Proactive Software DD

    Do you recommend your software clients (Seller) to proactively have their code reviewed prior to going into disbursing Offering Memorandums and getting bids from prospective buyers? If not, why?

    Hi jay,

    Great question!

    I would recommend. The DD report will give the software quality assurance and help build better evaluations and negotiations. SW is a black box that companies fear and they will put substantial investments into it. Also, faulty SW can lead to litigation issues if it impacts the buyer. While in Boeing’s case it is outsourcing,faulty software has lead to huge problems and loses and more importantly lives have been lost.
