    During your M&A process, do you normally perform or engage an advisor to perform a commercial due diligence?



    This depends on the size and expertise available within in house team. Generally for large cross-border acquisitions, an external financial advisor is engaged to perform a commercial due diligence.

    The scope of the CDD determines the involvement of an external firms. I have in the past worked with PE firms that either do not have available resources to conduct the CDD or require specific expertise sitting outside their firm.

    Usually we do CDD in-house, as we have the in-house expertise to evaluate the commercial aspect of a deal

    Depends. ideally it is a sector you are very familiar with and in such a situation, you should be more familiar than so called experts in the market. In these cases, you will still use third parties if the CDD is very laborious such as huge geographical coverage of multi cities, mystery shopper, undercover investigative work etc.

    If you are a financial investor and not an expert in that industry, I would usually first rely on public research to get a first cut before deciding how to approach CDD and how to budget the right costs.



    More often we use an advisor for the CDD but it depends on the scope.
