Ignoring due diligence findings

    In my experience: Yes, strategic buyers do occasionally downgrade some due diligence findings usually when the deal’s expected long-term value exceeds short-term risks. This is particularly true when driven by strong strategic motives, and competitive bidding pressures.

    I think due diligence in the environmental realm is overlooked more because it isn’t as prevalent as other types of due diligence. In addition, the buyer may be impatient to complete the deal and not understand the great cost that my affect such a deal when this important area is ignored.
