Cultural due diligence

    Not all companies are doing cultural due diligence in the first place. Legal, finance, and commercial due diligence are much easier to quantify. Culture is not tangible. It is not so easy to do cultural due diligence in a short period.

    A key challenge is coming up with the evaluation criteria to conduct the cultural due diligence, and then actually applying it against the TargetCo. It becomes a resource question, because of the long list of other tasks, and if it’s really a critical-path activity for Day 1. If executive leadership believes it is a “must have” for Day 1, it will get properly resourced; otherwise it is often a lower priority for the integration teams.
