    Ignoring Employee Concerns: Not addressing the anxieties and questions of employees can result in low morale and high turnover, which can derail integration efforts.

    Onzelo – this is VERY helpful! One thing I’ve encountered in the few M&A’s my company has done is that everyone seems to have a different definition of ‘culture’ How would you define the key elements of a business culture?

    Teresa – Sorry, but this went into my spam folder.

    When I think of the key elements of culture, I start with MVV , Mission, Vision, & Values. More importantly, are the actions of the company and its leaders consistent with what they espouse their values to be? Do they walk the talk?

    I then start at the top with the leadership style and whether leaders are focused on making their teams and people better or are they self -serving?

    Employee Engagement and Teamwork/Collaboration are important elements of culture as well as adaptability, flexibility and because I’m in the change management space, resilience, how agile and embracing of change is another key element of culture.

    Lastly, I also think about work/life balance and ethical standards and Integrity.

    Onzelo, your detailed initial statement was very enlightening. One aspect that your response of June 6th resonated with me is that aspect of work/life balance or work/life integration as some have veered to. Too often that element is not examined and is moreso applicable when pursuing Cross-Border acquisitions. This can contribute significantly post M&A to the success or failure. In my observations, failure to acknowledge and maintain work/life balance or integration can lead to a run on human resources which can negatively impact your deal.

    If culture matters in the deal, such as when two companies are truly merging and will retain a majority of associates, facilities, etc…., then cultural investigation needs to be a significant part of the due diligence process. The Daimler/Chrysler deal is a perfect example of how, if not done, this can ultimately doom the merger.

    I recently reread Jim Collins’ Good to Great, and was thinking of this topic in the context of the book. I think the book would likely emphasize several principles regarding cultural integration during mergers and acquisitions. 1) Great leaders understand the importance of culture and can navigate the complexities of merging two distinct cultures. They would focus on identifying and building a strong cultural fit – acquiring companies whose values and operating principles align with the existing company’s core values. Thinking of Simon Sinek, we might say that the acquiring company would focus on the “why” as much as the “what” and “how” of the acquired target. 2) Before rushing into the “what” of integration strategies, Good to Great would advocate for getting the “who” right. This means carefully selecting the right leadership team post-merger, ensuring they represent the best of both cultures and embody the desired values. 3) Good to Great emphasizes getting the right people on the bus (the organization) before figuring out where to take it. In the context of M&A, I think we would want to ensure that the right people stay on the bus and buy into the vision and purpose of the combined companies strategies. 4) Lastly, I think that the book would advocate for avoiding arrogance and recognizing the value that the acquired company brings to the table and not simply imposing one culture over the other, but rather seeking a synergistic blend that leverages the strengths of both. That said, the reality of M&A is always more complex and nuanced and often the size of the two companies and strategy behind the acquisition would dictate the realities on the ground.

    Such a great thread and spot on! Culture shock is a real thing, even for ‘seasoned’ employees. Change is difficult, so coordinated efforts to effectively manage it and ensure the individuals going through it come out the other end empowered and with a sense of belonging and value will pay dividends.
