Introduction

The Due Diligence (DD) module provides in-depth information on how to plan, prepare, organize and conduct a DD including for example DD Teams, Data Rooms, Checklists, Management Presentations and Interviews as well as sight visits. In addition to traditional sell-side/buy-side DD format, we discuss also Vendor DD, Confirmatory DD, and Post Closing DD. The DD module also includes covering differences launching and conducting DDs in mature and emerging markets as well as international examples from all around the world. The most important DD areas will be covered very much in detail: Financial, Tax, Legal, Human Resource and Commercial DD. For other areas, some more aspects will be explored such as: Operational, Antitrust, IT, Real Estate, Intellectual Property (IP), Cultural & Ethics, Environmental & Health, Compliance & Integrity, as well as Risk and Insurance DD. Apart from this fully fledged DD design, the minimum aspects to cover as well as the warning signs (red flags) to look for are discussed.
