Mergers/Stock Purchases

I’m curious to hear how people determine deal structure and manage the risk associated with stock purchases. It seems that from the buyer perspective, asset deals are almost always preferable, certainly for smaller acquisitions. But, for the seller, stock deals are preferable. How have you seen parties balance these competing perspectives? How have you seen buyers manage the risk associated with a stock purchase?
