I am an independent consultant and ideas for the deals I have been part of have come from many sources. In one case the acquired company became weakened and vulnerable and the CEO of the acquired company approached the CEO of the acquiring company. In another instance it was the line VP who had his directors out in market searching for acquisition and divestiture opportunities. Really depends on scale and importance of the deal.
